I’m wanting to do this as a living. I don’t want to charge an hourly rate, but instead get a percent as a “finders fee”. Is this legal? What education/courses can I take to learn how to do the paper work and be familiar with the legal channels? SOMEONE PLEASE HELP!!!!

Me and my partners have started a business which is incorporated as an S-Corp. We are interested in obtaining some venture capital. Do we need to switch our company to a standard C-Corp? If we aren’t required to do so, is it advantageous to?
Well, I’m not looking for any advice that would be a subsitute for getting a lawyer. I am just trying to get some basic information.

I was looking for some recommendations of good venture capital firms in Florida or even outside of Florida. I am currently working on the business plan and we will be ready to start looking for capital in about a month. Thanks for all help you may be able to supply.
