I imagine if the financing is structured as a convertible loan, then the money is added as a liability. But if the investment is in return for common shares, how is the transaction recorded?

Andy I have always wondered – if you own your own company and a VC invests an amount of money in it, what is this funding generally *allowed* to be spent on?.
I can think of the obvious – running costs, R & D, salaries – but what else?. If you own/started up the company, is it generally permissible for *you* yourself to be paid a salary out of this funding too for the work you are carrying out?.
Any hints or tips about the correct or best usage of VC investment would be much appreciated.

I would fit in a s a domain expert or subject matter expert. i have a PhD in the life sciences. But most firms dont seem to have career opening and do not seem to have any recruitment process.

Anthony M I’m not too sure of how VC really works. Let’s say I am a startup company and we get founded by VC. They invest in the company and get a share of it, I pay some annual fees, and if everything rolls alright we get to split the money in the end after an acquisition or IPO.
But what happens if the product fails? Will I own any invested money to the VC firm? How does it work?

What type of regulations and compliance does a domestic (US) Venture Capital fund face when funded primarily by foreign investors from the EU. Are there specific regulations, aside from those outlined in the Investment Company Act of 1940, by either the U.S. Government or E.U. laws?
