Situation is a start-up company with venture capital but can’t (won’t) pay my quoted rate (I’m an independent consultant, business reengineering). They want me to come back with something much lower, maybe half.

I’m OK with that IF I can negotiate something in return (and not just lower my price without due consideration). They’ve hinted at future upside (for them, as a company), so I’m wondering if there is a way for me as a non-employee to get stock options if I lower my consulting fee.

I have no experience with non-cash compensation as a consultant. Anyone out there have some good information or ideas?

I run a consulting firm specializing in helping large US and International contractors and construction owners in the construction industry in the areas of pre-construction and project management. The business is generating income but I want to expand the model and develop a utility management tool (software) that reflects my business philosophy and approach. In order to do this I need financing, but I don’t want to take a loan, I prefer equity based financing. Any ideas where to start and how to approach this?

Ex: You have to choose from 3-4 industries how do you do it? Or else if you have to choose from 3-4 opportunities in similar industry or different industry?

A good freind of mine owns 10 acres on the southern California coast, adjacent to urban area, golf courses, and possessing spectacular view. he came into it with other relatives about 30 years ago, when the relative who had inherited it from his father (who once ran a ranch there), died. All the relatives have been squabbling for years, but now they are getting into their latter years, and would like to sell to a developer for big money. Sadly for them, all the offers have been peanuts, because there is the perception it will take two to four years to approve. This particular city has approved some coastal projects, shot down others. I suggested they entitle it themselves, and did some homework and figured they would need about 350,000-500,000 to pay for all the studies and EIR and city fees just go get to the planning commission stage. They don’t want to borrow on their property. Is there venture capital out there that invests in risky deals like this on no – recourse basis?
