Private Equity Investments in Africa with Papa Madiaw Ndiaye

(www.abndigital.com) The Africa Venture Capital Association estimates that over $25 billion in private equity investments have been made on the continent. But Africa only receives a fraction of global allocations to private equity. ABN's Wole Famurewa spoke to Papa Madiaw Ndiaye, CEO of Advanced Finance & Investment Group, to get his thoughts on this and opportunities in Francophone Africa. |

Foreign investments outdo Israeli investors
|
|
According to Israel Venture Capital Research Center, foreign investment funds accounted for 52% of first investments in Israeli or Israeli-affiliated companies. Such companies made 73 deals with 23 foreign investments funds, while the rest of the deals were made with Israeli funds. In 2010, foreign investors accounted for only 31% of Israel's high-tech investments. Internet companies elicited the largest number of foreign investments with 27 deals of first foreign investments in 2011, followed by software companies which reached 23 deals. |

What are the tax implications of Investments in Venture Capital Fund?
|
|
Venture Capital Trust will invest money in SPV's in the form of Equities and OFCD's (optionally fully convertible debentures). The income accrued to the Venture Capital Trust will be in the form of Long Term Capital gains, Dividend on Equity and Interest from OFCD's. Currently tax on income from dividend is zero, income from interest income is taxed at 30% (plus other charges) & income from Long Term capital gains (being unlisted equity) is taxed at the rate of 20% with indexation and 10% without indexation. The investor will get income after tax is deducted at source. We strongly recommend our investors to take independent advice on the nature of tax liabilities. |

What is Placement Memorandum or Subscription Agreement?
|
|
Every venture capital fund shall issue a placement memorandum to its proposed investors which contains all the terms and conditions relating to the scheme through which money is proposed to be raised from the investors. The venture capital fund may also enter into a subscription agreement with the investors which would specify the terms and conditions of the scheme through which money is proposed to be raised. The venture capital fund shall submit a copy of such placement memorandum or subscription agreement with SEBI along with the report of the money actually raised through such agreement or memorandum. |
